Shiya Tech is an AI and cloud engineering practice. Our operations span the United States and India. The business is owned and operated by its principals, with financial and contractual responsibility held by the US-based entity.

2. Scope of Services
Shiya Tech provides professional engineering services exclusively in the following domains:
- AI Agent Engineering: Design, development, and deployment of autonomous AI agents and intelligent automation pipelines.
- Cloud Platform Engineering: Architecture, migration, and management of cloud infrastructure on platforms including AWS, Google Cloud Platform (GCP), and Microsoft Azure.
- Data Platform Engineering: Design and implementation of data pipelines, data warehouses, data lakes, analytics platforms, and business intelligence systems.
- AI Integration: Integration of large language models (LLMs), machine learning models, and AI APIs into existing enterprise systems and workflows.
3. Engagement & Project Terms
All client engagements are project-based. The specific scope, deliverables, timeline, and commercial terms for each engagement will be defined in a separate written Statement of Work (SOW) or Service Agreement signed by both parties prior to work commencing.
A Discovery Call booking made through our website does not constitute a binding contract. It is an exploratory conversation only.
4. Payments
All payment terms are determined on a project-by-project basis and will be specified in the agreed Statement of Work or Service Agreement. General principles include:
- Pricing is quoted in USD unless otherwise agreed in writing.
- Payment schedules (e.g. milestone-based, retainer, or upon completion) will be defined per project.
- Invoices are issued by the US-based entity and are due within the timeframe specified on each invoice.
- Late payments may incur interest at the rate permitted under applicable law.
- All payments are non-refundable for work already delivered and approved, unless otherwise stated in the SOW.
5. Intellectual Property
Upon receipt of full payment for a project, all custom work product, code, architectures, and deliverables created specifically for the client under that project are assigned to the client.
Shiya Tech retains ownership of all pre-existing tools, frameworks, methodologies, know-how, and general-purpose code libraries used during the project. The client receives a perpetual, non-exclusive license to use such components as embedded in the deliverables.
Shiya Tech may reference the engagement for portfolio and marketing purposes unless the client explicitly requests confidentiality in writing prior to project commencement.
6. Confidentiality
Both parties agree to treat the other's proprietary and confidential information with reasonable care. Shiya Tech will not disclose client business information, technical architecture, or data to any third party without the client's prior written consent, except as required by law or as necessary to engage sub-contractors who are bound by equivalent confidentiality obligations.
7. Warranties & Disclaimers
Shiya Tech warrants that services will be performed with reasonable skill and care, in accordance with the agreed specifications. We do not guarantee specific business outcomes, revenue results, or performance benchmarks unless explicitly committed to in writing in a Statement of Work.
Our website and informational content are provided "as is" without any warranty of any kind, including accuracy, completeness, or fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Shiya Tech's total cumulative liability to you for any claims arising from or related to our services shall not exceed the total fees paid by you to Shiya Tech in the three (3) months preceding the event giving rise to the claim.
In no event shall Shiya Tech be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.
9. Governing Law & Dispute Resolution
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Ohio, United States of America, without regard to its conflict of law principles.
Any disputes that cannot be resolved amicably through good-faith negotiation shall be submitted to the exclusive jurisdiction of the courts located in Knox County, Ohio, USA.
10. Website Use
You agree to use our website only for lawful purposes. You must not:
- Use the website in any way that violates applicable law or regulation.
- Attempt to gain unauthorised access to our systems or servers.
- Transmit any unsolicited or unauthorised advertising or promotional material.
